Contract Attorney Position

We are looking for a skilled contract attorney to join our team on a long-term contract basis in San Diego, California. This role focuses on managing and negotiating complex commercial sales agreements while collaborating with various departments to ensure smooth contract execution. The ideal candidate will have the expertise to handle enterprise contracts, provide practical guidance to the sales team, and contribute to corporate governance activities.

Responsibilities:

  • Lead the negotiation and management of commercial sales contracts from initiation to completion, ensuring timely closure with minimal supervision.
  • Oversee the deal desk function by managing central intake for new sales transactions and coordinating cross-functional efforts for seamless contract execution.
  • Draft, review, and negotiate enterprise agreements, including those related to hardware, SaaS, and other commercial offerings.
  • Develop standardized contract templates, playbooks, and fallback positions to enhance efficiency in the contracting process.
  • Collaborate with internal teams to gather necessary input, resolve issues, and align contract terms with business objectives.
  • Provide clear and actionable guidance to the sales team throughout the contracting lifecycle.
  • Support corporate governance activities for a public company, including preparing materials for meetings, drafting minutes, and developing corporate resolutions.
  • Demonstrate a hands-on approach by contributing to various initiatives and tasks as needed.

Requirements:

  • Must be a licensed attorney with a strong understanding of commercial contracts.
  • At least 5 years of experience handling complex sales agreements and enterprise contracts.
  • Proven ability to draft, negotiate, and manage contracts for hardware, SaaS, and other commercial products or services.
  • Familiarity with corporate governance practices, including preparing meeting materials and drafting resolutions.
  • Exceptional communication and collaboration skills to work effectively across departments.
  • Detail-oriented with the ability to manage multiple priorities and deadlines.
  • Experience developing contract templates and playbooks to streamline processes.
  • Proactive and execution-focused with the ability to work independently.
